Maib 2026 AGM Announcement

Maib is pleased to announce that the Annual ordinary general shareholders meeting (AGM) of CB "MAIB" S.A. will be held on 25 June at 11:00 a.m., at the Bank headquarters, 31 August 1989, 127 street, Chisinau. The AGM will be held in-person.

The registration of participants at the Annual ordinary general shareholders meeting will be performed by the Registration Committee on the date of the Shareholders Meeting, at the Bank headquarters, maib park, on the following address: 31 August 1989, 127 street, Chisinau, between 8:30 a.m. and 10:30 a.m.

In order to participate in the AGM, the shareholders should present an ID document to the Registration Committee, while the shareholders representatives should additionally present power-of-attorney documents (the extract from the legal entities State register or the power of attorney legalized as required).

Agenda of the AGM

Decisions regarding:

1. Approving the Bank's annual financial results for 2025.
2. Approving the Bank's Supervisory Board annual report for 2025.
3. The distribution of the Bank's capital and the annual profit, including the payment of dividends for 2025.
4. The rules of the Bank's profit distribution for 2026.
5. Amendments to the Bank's Charter.
6. Amendments to the Supervisory Board's Regulation.
7. Confirming the auditing company and fees for the provided services.

The list of shareholders eligible to participate in the AGM will be compiled on 11 May 2026 and may be updated until 22 June 2026 (3 days before the meeting). Only shareholders registered on that date — 22 June 2026 — will have the right to participate and vote. Meeting materials are available in person at the Corporate Investments Department (Orchestra), 31 August 1989, 127 street, Chisinau, from 15 June 2026, Monday to Friday between 9:00 a.m. and 4:00 p.m.

Materials for the agenda of the general shareholder meetings will be published on the website at the following address in accordance to the requirements and within the limit specified by the current legislation.
