Maib reminds you of the legal obligation to declare the company’s beneficial owner by December 31, 2025, in accordance with the requirements of the Public Services Agency (PSA).
If you have already made the declaration, thank you for your compliance!
If you have not yet declared the beneficial owner, please complete this process by the established deadline.
The declaration is mandatory for companies that:
- have not previously declared the beneficial owner;
- have had changes in the structure of founders or administrators in the last 18 months.
Who is the beneficial owner?
- The company founder, if they directly or indirectly hold 25% plus one of the share capital. If the founder is a legal entity, the beneficial owner will be the natural person within that company.
- Any other individual who meets one of the following conditions:
- directly or indirectly holds 25% plus one share of the share capital;
- exercises direct or indirect control, in whose interest an activity or transaction is carried out;
- has decisive control, such as a distinct voting right or the right to appoint governing bodies.
- The company administrator or other persons in management positions, if no other individual can be identified.
A company may have one or more beneficial owners — this depends on the ownership structure and control.
How to declare?
- Download the form from the Public Services Agency’s electronic services portal.
- Complete and electronically sign the documents.
- Submit them to be@asp.gov.md.
- If you do not have an electronic signature, the documents can be sent by post to 47 Al. Pushkin Street, Chisinau.
